Terms and Conditions
1. General provisions
1.1 These Terms and Conditions of Sale and Purchase, together with the documents referred to in the Terms and Conditions of Sale and Purchase, are intended to provide information about MB BioAgna ("Seller") and to set out the terms and conditions of the sale of the Goods ("Goods") sold in the online shop ("Terms") to persons purchasing goods ("Customer") in the online shop.
1.2 These Terms and Conditions shall apply to the purchase of Goods on the online shop https://bioagna.lt/ between the Seller and the Buyer in connection with the sale of Goods ("Contract"). The Buyer is advised to read the Terms and Conditions before proceeding with the order of any Goods in the online shop.
1.3 The Buyer, having read the documents, confirms the Terms and Conditions and the Privacy Policy by purchasing the Goods. The Rules and the Privacy Policy, thus approved, shall be a binding legal document for the Parties, which shall determine the rights and obligations of the Buyer and the Seller, the conditions for the purchase of the Goods and the payment for them, the procedure for the delivery of the Goods and the procedure for the return of the Goods, the liability of the Parties, and other conditions relating to the purchase - sale of the Goods.
1.4 The Buyer should note that the purchase and payment of an order is subject to acceptance of the Terms and Conditions. Otherwise the Seller cannot accept the order.
1.5 In the event of need or changes in the law, the Seller shall have the right to amend, modify or supplement the Terms and Conditions by informing the Buyers thereof.
2. Information about the Seller
2.1 These Terms and Conditions apply to the purchase of Goods at www.bioagna.com. The Seller is MB "Bio Agna", legal entity code 305713925, address Kadagio g. 2, Kaltanėnų sen. Švenčionių raj.

3. Ordering goods
3.1 The Customer may place an order in the online shop by one of the following methods: registered, unregistered, telephone or email.
3.2 When ordering goods by one of the methods specified in Clause 3.1, the Buyer must provide the Personal Data necessary for the proper execution of the order, as provided for in the Privacy Policy.
3.3 The provisions of the Terms and Conditions and the Privacy Policy shall apply to the Buyer who has placed an order for Goods by telephone. By placing an order, the Customer accepts the Terms and Conditions.
3.4 All material information about the product and its features is contained in the product description https://bioagna.lt/
3.5 For the convenience of the Buyer, each Buyer's order shall be stored in the https://bioagna.lt/duomenų database.
4. Buyer's rights and obligations
4.1 The Buyer shall have the right to purchase the Goods at https://bioagna.lt/šių in accordance with the Terms and Conditions.
4.2 The Buyer shall have the right to cancel the order in accordance with the procedure set out in these Terms and Conditions.
4.3 The Buyer shall have the right to exchange or return the purchased goods in accordance with the procedure set out in the Regulations.
4.4 The Buyer has the right to terminate the Purchase Agreement with the Seller.
4.5 The Buyer shall also have other rights set out in these Terms and Conditions, the Privacy Policy and the legislation of the Republic of Lithuania.
4.6 The Buyer shall comply with https://bioagna.lt/Taisyklių and shall pay for and accept the goods ordered in accordance with these Terms and Conditions.
5. Seller's rights and obligations
5.1 The Seller undertakes to provide all the necessary conditions for the Buyer to make proper use of the electronic shop https://bioagna.lt/
5.2 The Seller undertakes to respect the Buyer's privacy and to process the Buyer's personal data in accordance with the established procedures.
5.3 The Seller shall have the right to change, discontinue or add to the layout and operation of certain items.
5.4.The Seller shall have other rights set out in these Terms and Conditions, the Privacy Policy and the legislation of the Republic of Lithuania.
5.5 The Seller undertakes to deliver the Goods ordered by the Buyer and to accept the Buyer's return of the Goods in accordance with the terms and conditions set out in the Conditions.
5.6 If the Seller is unable to supply the Buyer with the goods ordered due to important circumstances, the Seller undertakes to offer the Buyer similar goods for the amount available or to refund the money paid.
5.7.The Seller, disagreeing with the Buyer's claims, must provide the Consumer with a detailed reasoned written response within 14 (fourteen) calendar days from the date of receipt of the Buyer's request, unless otherwise provided for by the laws of the Republic of Lithuania and the European Union.
5.8.The Seller undertakes to fulfil other obligations imposed on the Seller by the Rules, the Privacy Policy and the legislation of the Republic of Lithuania.
6. Prices and payment arrangements
6.1 The Seller shall quote the final prices of the Goods on https://bioagna.lt/su at the then prevailing tax rate.
6.2 The Buyer may pay for the ordered goods in one of the following ways: in cash to the courier if the value of the order does not exceed EUR 150, in cash or by bank card, electronic banking, bank card, or by ordinary bank transfer.
6.3 Once the Seller receives payment for the Goods, the order is confirmed and the delivery period commences.
6.4 By accepting the Terms and Conditions, the Buyer agrees that the purchase documents - invoices, which are also the warranty vouchers for the Goods, shall be presented to the Buyer upon collection of the order. The invoices shall specify the goods selected, the quantity, the final price of the goods including all taxes, the transport costs and the final amount of the order.
6.5 By ordering goods in the online shop, the Customer agrees to receive a copy of the order, after the order has been completed, to the e-mail address provided at the time of purchase.
7. Delivery of goods
7.1 When ordering goods, the Buyer may choose one of the following methods of delivery of goods: collection from, home delivery by courier service, home delivery by courier service to post offices.
7.2 The delivery time after the order has been paid for is 2 - 4 days.
7.3 Delivery charges are automatically displayed when you add an item to your basket and click on "Buy"
7.4 If the Buyer chooses a home delivery service at the time of order:
7.4.1 The Buyer undertakes to specify the exact place of delivery.
7.4.2 The Buyer undertakes to accept the Goods himself. The Buyer has the right to designate another person in the comments at the time of ordering. If the goods have been delivered to the address indicated by the Buyer, the Buyer shall not be entitled to claim against the Seller for delivery of the goods to the wrong person.
7.4.3. the Goods shall be delivered by courier services Omniva or LP EXPRESS.
7.5 If the Buyer chooses to have the Goods delivered to an Omniva post office or LP EXPRESS parcel self-service terminal at the time of placing an order:
7.6.1. goods weighing less than 30 kg may be collected from Omniva post offices or LP EXPRESS parcel self-service terminals. Goods heavier than 30 kg shall not be delivered to post offices or self-service terminals.
7.6.2.The parcel must be collected from the Omniva post office within 7 calendar days after the parcel service has informed the Customer by SMS that the goods are available for collection. The parcel must be collected from the LP EXPRESS self-service terminal within 5 calendar days after the parcel service has informed the Buyer by email or SMS that the goods are available for collection
7.6.3.The Seller shall not be liable for any uncollected shipment, i.e. if the shipment is returned to the Seller due to the Buyer's fault, then the Buyer shall be liable to pay the re-shipment costs.
7.7 The Seller shall deliver the Goods to the Buyer in accordance with the terms set out on the Delivery of Goods page. In exceptional cases, delivery of the Goods may be delayed due to unforeseen circumstances beyond the Seller's control. In such a case, the Seller undertakes to contact the Buyer immediately to agree on the delivery dates and other conditions.
7.8 The Seller shall be exempt from liability for breach of the time limits for delivery of the Goods if the Goods are not delivered to the Buyer or are not delivered on time due to the fault of third parties unrelated and/or independent of the Seller, or due to circumstances beyond the Buyer's control.
7.9 At the time of delivery of the Goods to the Buyer, the Buyer shall inspect the condition of the consignment and the Goods(s) together with the courier and shall sign the consignment handover-receipt document. Once the Buyer has signed the delivery and acceptance document, the Goods shall be deemed to have been delivered in good condition, free from defects not attributable to manufacturing defects and free from any inconsistencies (such as those which can be detected by an external inspection of the Goods) in the assembly of the Goods(s). If the Buyer notices that the packaging of the goods delivered or the goods are damaged or are not in the correct condition, the Buyer must inform the Seller immediately.
7.10.If, in accordance with Clauses 7.4 - 7.6 of the Regulations, the Buyer fails to collect the Goods within the time limit or fails to deliver the Goods to the Buyer and the Buyer has paid for the Goods and their delivery, the Representatives shall contact the Buyer to arrange an alternative time and/or method of delivery. If the Buyer still does not collect the goods or fails to deliver them, the Buyer shall be entitled to cancel the order and to a refund of the money paid for the goods, less delivery charges, if applicable.
7.11. If, in accordance with Clauses 7.4 - 7.6 of the Rules, the Buyer fails to collect the Goods within the time limit or fails to deliver them to the Buyer and the Buyer has not paid for the Goods, such Goods shall be returned to the Seller and the order shall be cancelled.
8. Guarantee of the quality of the goods and the period of fitness for use
8.1. https://bioagna.lt/ the characteristics, description and images of the goods for sale are set out in the description of each item.
8.2 The goods offered for purchase by the Seller are of satisfactory quality, i.e. the characteristics of the goods are as described.
8.3 The Seller recommends that you carefully read the description of the product before purchase. The Seller shall not be liable for the fact that the size, shape, colour or other parameters of the goods on https://bioagna.lt/esančios may not correspond to the actual size, shape, colour or other parameters of the goods due to the characteristics of the display used by the Buyer or other technical reasons beyond the control of the Seller.
8.4 The Seller shall provide a quality guarantee for different types of goods for a certain period of time, the specific term and other conditions of which shall be specified in the descriptions of such goods or together with the invoice of the goods corresponding to the guarantee sheet.
8.5 The Seller's guarantee of quality does not limit or restrict the rights of consumers under the law.
9. Right of withdrawal, return and exchange procedures
9.1 Right of withdrawal
9.1.1.The Buyer shall have the right to withdraw from the contract of sale of the Goods within 14 (fourteen) days without giving any reason and by notifying the Seller. This right shall not be exercised by the Buyer in the case of a contract which involves the production of goods which are not pre-manufactured according to the Buyer's specific instructions and which are produced in accordance with the Buyer's personal choice or instruction, or in respect of goods which are expressly tailored to the Buyer's personal needs;
9.1.2 The Buyer shall notify the Seller of its withdrawal from the Sale and Purchase Contract in one of the following ways: by completing the Model Withdrawal Form or by submitting an express statement setting out its decision to withdraw from the Contract. The notice of withdrawal shall be sent by email to bioagna@gmail.com. Upon receipt of the Buyer's notice, the Seller shall immediately send an acknowledgement of receipt of the notice.
9.1.3 The Buyer may exercise the right of withdrawal within 14 days, calculated as follows:
a. in the case of a contract of sale, from the date on which the Buyer or a person designated by the Buyer, other than the carrier, receives the goods ordered;
b. if the Buyer has ordered more than one item in a single order and the items are delivered separately, from the date on which the Buyer or a person nominated by the Buyer, other than the carrier, receives the last item;
c. if the goods are delivered in different lots or instalments, from the date on which the last lot or instalment is received by the Buyer or a person designated by the Buyer other than the carrier;
d. in the case of a contract for the regular delivery of goods within a fixed period, from the date on which the first goods are received by the Buyer or by a person designated by the Buyer other than the carrier.
9.1.4.If the Buyer has withdrawn from the contract of sale before the goods have been delivered to him, the Seller shall mark the order as rejected and inform the Buyer accordingly at the e-mail address indicated by him.
9.2. Rules for the exchange and return of goods of satisfactory quality
9.2.1 The Buyer shall have the right to replace the purchased goods with other goods within 14 days from the date of delivery of the goods to the Buyer. If a price difference arises from the exchange of goods, the Buyer shall be obliged to settle with the Seller according to the recalculated prices. The Buyer must contact bioagna@gmail.com to exchange the goods.
9.2.2. if the Customer wishes to exchange or return the Goods, all Goods shall be exchanged except for measured Goods which have been specially prepared, cut, sawn or the like at the Customer's request.
9.2.3 Upon receipt of the Goods, the Seller undertakes to replace the Goods with the same Goods only in the shape, size, colour, model or completeness specified by the Buyer. If the Seller does not have suitable goods for replacement, the Seller shall refund the money paid for the goods to the Buyer. The money shall be refunded to the Buyer within 14 calendar days after the Seller has received the Buyer's notification of the Buyer's wish to exercise this right, and if the Goods have not been returned by the Buyer to the Seller, the time limit set out in this clause shall run from the date of return of the Goods to the Seller.
9.2.4 By accepting these Terms and Conditions, the Buyer agrees to a refund to the Buyer's bank account unless otherwise agreed between the Buyer and the Seller.
9.3. Rules for the exchange and return of goods of unsatisfactory quality
9.3.1. defects in the goods sold shall be eliminated, defective goods shall be replaced and returned in accordance with the procedure set out in the Rules and taking into account the requirements of the legislation of the Republic of Lithuania.
9.3.2.If the Buyer purchases a product of inadequate quality or with a manufacturing defect, the Buyer shall notify the Seller in writing in accordance with the procedures set out in the Regulations. The Buyer shall have the right to request the replacement of the product with a product of equivalent quality, a refund or the elimination of the defect
9.3.3. when submitting a letter of return, the Buyer must enclose the invoice (invoice number) or purchase receipt for the purchase of the Goods, together with the following information: a photograph of the Goods and the defective area, a description of the defect, the defect
9.3.4 The Buyer may exercise the right to return goods of unsatisfactory quality within a specified period of time, which shall be indicated in the description of the goods and shall be calculated from the date of purchase.
9.3.5.The money shall be refunded to the Buyer within 14 (fourteen) calendar days after the Seller is satisfied that the goods are damaged due to a manufacturing defect and not due to the Buyer's fault.
9.3.6 No refund shall be made for goods which have been damaged (by chemicals, water, open flames, high temperatures, sharp objects, etc.) or used improperly or not for their intended purpose, whether intentionally or negligently, through the fault of the Buyer.
9.4 Replacement of Goods if the wrong Goods are delivered
9.4.1.If the Buyer has been delivered the wrong goods, the Buyer must inform the Seller by telephone or by email at bioagna@gmail.com.The Seller undertakes to replace the goods with the correct goods at its own expense or to accept the wrong goods and refund the Buyer within 14 calendar days.
9.5 Return of Goods and Money
9.5.1 To return the Goods, the Buyer must comply with these Terms and Conditions and the applicable return periods set out in the Terms and Conditions.
9.5.2. the Buyer undertakes to give the sender's address and to pack the goods properly if they are sent. The Seller shall be entitled not to accept the goods from the Buyer and to make no refund if the goods have been damaged, broken or destroyed in transit due to improper packaging
9.5.3 The Buyer may return the Goods by sending or delivering them to the office of MB Bioagna, Kadagio g. 2, Kaltanėnų sen. Švenčionių district.
9.5.4.Refunds shall be made to the Buyer in accordance with the procedures set out in these Terms and Conditions after the Seller has received the Goods, but no later than 14 calendar days.
9.5.5 By accepting these Terms and Conditions, the Buyer agrees to a refund to the Buyer's bank account unless otherwise agreed between the Buyer and the Seller.
9.5.6 The Seller shall have the right not to refund the Consumer until the returned goods have been received by the Seller and the goods have been inspected for compliance with the Regulations.
9.5.7 If a price difference arises as a result of the exchange of Goods, the Buyer shall pay the Seller in accordance with the recalculated prices.
10. Responsibility
10.1 The Buyer is responsible for the actions taken when using the https://bioagna.lt/elektronine shop, including the provision of correct data. The Buyer shall be liable if the data provided is incorrect or insufficient to enable the Seller to fulfil the Buyer's order without interference.
10.2 Once registered, the Buyer accepts responsibility for the storage and/or transfer of his/her login data to third parties. If a third party uses the services provided by MB BioAgna e-shop by logging in to https://bioagna.lt/naudodamasis with the Buyer's login data, the Seller shall consider this person as the Buyer.
10.3 The Seller shall be exempt from any liability in cases where the loss is caused by the Buyer's failure to read these Terms and Conditions and the Privacy Policy, notwithstanding the Seller's recommendations and obligations, even though the Buyer was given the opportunity to do so.
10.4 The Seller shall not be liable for the information provided on the websites of other companies, including where the Buyer accesses these websites via links on the Seller's e-shop.
11. Share rules
11.1 The Seller may, at its sole discretion, initiate various promotions, games and special offers in the https://bioagna.lt/ online shop.
11.2 All discounts and promotions published on https://bioagna.lt/tinklalapyje are applicable only to purchases made through the online shop.
11.3 The Seller shall have the right to change promotions, competitions without prior notice to the Buyer.
12. Sending information
12.1 The Seller shall, in accordance with these Terms and Conditions and the Privacy Policy, send all notices to the e-mail address or telephone number provided by the Buyer at the time of registration or when ordering goods.
12.2 The Buyer shall send all notices and questions to the Seller to bioagna@gmail.com or call https://bioagna.lt/ Please contact the phone number on the contact form.
13. Final provisions
13.1 These Terms and Conditions are made in accordance with the laws of the Republic of Lithuania.
13.2 The law of the Republic of Lithuania shall apply to relations arising under these Terms and Conditions.
13.3 All disagreements arising out of the application of these Terms and Conditions shall be settled by negotiation. In the event of failure to reach an agreement within 20 calendar days, disputes shall be settled in accordance with the procedure established by the laws of the Republic of Lithuania.
13.4 In case the Buyer does not agree with the Seller's response to the Buyer's written complaint, the Buyer (natural person, consumer) may submit his/her request/complaint regarding the purchased goods to the State Consumer Rights Protection Service (Vilniaus g. 25, 01402 Vilnius, e-mail: tarnyba@vvtat.lt, tel. 85 262 67 51, fax. (85) 279 1466, on the website www.vvtat.lt (as well as the territorial units of the State Consumer Rights Protection Service in the districts) - or by filling in the application form on the EGS platform https://ec.europa.eu/odr/.
